1. GENERAL PROVISIONS

  • Private higher educational establishment International Academy of Ecology and Medicine(hereinafter – “Academy”) – a branch profitable higher educational establishment (establishment of Higher education), created by the decision of constituent meeting of founders ( Protocol No. 1 from 19.08.2011) in the form of a private establishment, which carries out its activity in accordance with the current legislation of Ukraine and this Statute.

The Academy is a legal entity, the rights and obligations of which it acquires from the day of State registration; has separate property; Has the right on his behalf to acquire property and personal non-proprietary rights, be a plaintiff and defendant in court. The Academy is not liable for the obligations of the founders (owners).

The Academy in accordance with the law can be a founder (co-founder) of other legal entities, carrying out their activities in accordance with the directions of educational-scientific-industrial activity of higher educational establishment. The The Academy, in accordance with the established procedure, may set up educational and research-and-production complexes, scientific parks and enter the consortium. All participants of the complex, consortium retain the status of a legal entity and financial independence. All participants in the complex, the consortium retain the status of legal entities. The purpose of the Academy’s activity is to provide the conditions necessary for obtaining vocational, higher, postgraduate education and meeting other educational needs of the students.

The main activity of the Academy is:

  • Provision of educational and related services and training in accordance with contractual obligations on a paid basis by highly qualified specialists at educational and qualification levels and levels: skilled worker, junior specialist, junior bachelor, bachelor, specialist, master’s degree, doctor of philosophy, doctor of arts, doctor Sciences in accordance with the requirements of the laws of Ukraine “On Education”, “On Higher Education” and regulatory acts adopted on the basis of these laws, including the training of highly qualified specialists in specialties and in the following areas of knowledge: Education – Pedagogy, Social and behavioral sciences, Management and administration, Law, Biology, Natural sciences, Chemical and bioengineering, Veterinary medicine, Guard Health , Sphere of service , International relations , etc.

  • Provision of educational and related services and preparation of contractual obligations on a paid basis by highly qualified specialists according to educational qualification levels and degrees specified in clause 1.8.1. Shall be carried out in accordance with the requirements of the current legislation.

  • Other financial, economic and commercial activities carried out, including:

training of scientific and pedagogical and scientific personnel in accordance with the requirements of the current legislation of Ukraine, improvement of professional skills, retraining of personnel according to the corresponding educational and professional programs of postgraduate training

scientific and scientific-technical, scientific-research, innovation, scientific-production, production, methodical, creative, cultural-educational, artistic, cultural-educational, sporting and recreational, and other activities;

foreign economic activity, including scientific, scientific and technical, scientific-production, production, educational and other cooperation with foreign subjects of economic activity, training and training of specialists on a commercial basis: business activities outside Ukraine, licensed for the provision of licenses , patents, trademarks and other intangible assets of domestic and foreign business entities; international relations, etc.

The Academy carries out its activities in accordance with the Constitution of Ukraine, the Civil Code of Ukraine, the Commercial Code of Ukraine, the Laws of Ukraine “On Education”, “On Higher Education”, “On Scientific3, Scientific and Technical Activity”, “On Foreign Economic Activity,” normative and legal the acts of the Cabinet of Ministers of Ukraine, the Ministry of Education and Science of Ukraine, the Ministry of Health of Ukraine, other legislative, regulatory and legal acts, international agreements, the consent of which is required by the Verkhovna Rada of Ukraine and the requirement this Charter.

The Academy independently makes decisions and carries out its activities within the limits of the rights envisaged by the Laws of Ukraine “On Education”, “On Higher Education”, “On Scientific and Scientific and Technical Activities”, “On Licensing Types of Economic Activities”, “On Foreign Economic Activity,” other legislative acts of the Ministry of Education and Science of Ukraine, the Ministry of Health of Ukraine, international treaties, the consent of which is required by the Verkhovna Rada of Ukraine, and additional rights, including those granted by the Academy according to the results of accreditation.

The Academy maintains an independent balance sheet, may have current, credit, deposit (deposit) accounts in banks’ establishments, may have a stamp with its name, corner stamp, stamps and seals for internal use, forms in Ukrainian and / or English, etc.

The Academy is responsible for:

  1. its obligations under the funds at its disposal;

  2. compliance with the requirements of the current legislation of Ukraine and international treaties, the consent of which is obligatory given by the Verkhovna Rada of Ukraine;

  3. compliance with state and international standards of education;

  4. ensuring safe conditions for conducting educational activities;

  5. compliance with financial discipline;

  6. social protection of participants in the educational process

  • The activities of the academy are based on the principles:

  1. autonomy and self-government;

The educational activity of the Academy is aimed at creating conditions for personal development and creative self-realization of a person, formation of universal values, creation of equal opportunities in obtaining qualitative education, development and implementation of educational, innovation technologies, integration of Ukrainian settled into the European and world educational space, provision of social protection of scientific- pedagogical, other workers and applicants of higher education who study at the Academy, responsible attitude to the highest individual and values ​​of the fields, creating the most favorable conditions for the development of society.

3. PURPOSE, TASKS, SUBJECT, MAIN DIRECTIONS OF ACTIVITY.

The Academy was established to provide the necessary conditions for obtaining citizens of Ukraine, foreigners and stateless persons who are legally in the territory of Ukraine, education on a fee basis for educational qualification levels and degrees: a skilled worker, a junior specialist, a junior bachelor, Bachelor, Specialist, Master, Doctor of Philosophy, Doctor of Science in order to prepare specialists for the needs of Ukraine, international agreements, obtaining profits according to types of economic activity, provided s this Charter, preparation of scientific and pedagogical and scientific personnel and other financial and economic and commercial activities specified in paragraph. 1.8.3. in this Statute. Separated structural units of the Academy, created in accordance with the requirements of the current legislation of Ukraine and the norms of this Statute, have the right to provide educational services and other services not prohibited by the legislation of Ukraine.

The general tasks of the Academy are:

  • the carrying out educational activities (in accordance with obtained licenses), defined in 1.8.1. and 1.8.2. this Statute;

  • the other financial, economic and commercial activities as defined in the paragraph 1.8.3 of this Statute;

  • the implementation within the limits of the powers specified in paragraph 1.8.4. this Statute, and in accordance with the licenses of medical practice, the establishment of educational and practical centers, clinics, etc., ensuring the acquisition of practical knowledge by students, preparing them for professional activity at the clinical bases of medical and preventive establishments, educational-practical centers and educational and practical centers of primary medical- health care;

  • the ensuring the execution of contracts and agreements with the contractors of the Academy;

  • a studying the demand for individual specialties in the labor market and facilitating the employment of graduates;

  • the ensuring the cultural and spiritual development of the individual, the education of persons studying in the Academy in the spirit of Ukrainian patriotism and respect for the Constitution of Ukraine;

  • the raising the educational and cultural level of citizens;

  • the disclosure of individual qualities, interests, creative abilities of students and creation of conditions for their further implementation in professional practice or in continuing vocational education;

  • the education of high moral, charitable and cultural people responsible for the quality and results of their work, responsible for the fate of the country and human civilization;

  • creation of conditions for the most full use of the creative potential of teachers and other employees;

  • a continuous study of best practices and achievements in vocational training in educational establishments of Ukraine and other countries of the world;

  • the provision of measures to strengthen the health of students, the creation of harmless and safe working conditions for Academy staff;

  • the provision of other educational services and services not prohibited by the legislation of Ukraine.

  • the subject of the Academy’s activities by type of economic activity is:

  • the higher education, which includes the first, second, third and fourth levels of higher education, the activities of higher education schools of art;

  • to provide paid services according to the list, determined by the Cabinet of Ministers of Ukraine;

  • to dispose of own proceeds, in particular received from the provision of additional paid services to higher education graduates and individual paid services to other individuals and legal entities;

  • open current and deposit accounts in banks;

  • to use bank loans in accordance with the legislation of Ukraine;

  • to provide and receive charitable help;

  • to exercise other rights that do not contradict the legislation of Ukraine.

Academy owes:

  • to ensure timely payment of taxes and other deductions in accordance with the requirements of the current legislation of Ukraine;

  • to carry out, if necessary, the construction, reconstruction, as well as the current and major repair of fixed assets, to ensure the prompt entry into operation of the purchased equipment;

  • to provide the offices and laboratories with the necessary equipment, tools, drugs, etc.; to acquire the necessary material resources from enterprises, organizations and establishments, regardless of ownership forms, as well as from individuals;

  • to create the right conditions for high-performance work; to ensure observance of labor legislation, rules and norms of labor protection, life safety, social insurance;

  • to take measures to improve the organization of wages of employees in order to increase their material interest both in personal work results and in the general results of Academy, to provide timely payments with employees;

  • to ensure compliance with environmental requirements in accordance with the legislation of Ukraine;

  • to carry out the accounting of its activities, maintain statistical reporting in accordance with the legislation of Ukraine and submit the indicated data for the consolidated balance to the Founders (owners) and the relevant state bodies in accordance with the procedure established by law. The Academy is obliged to take measures (including through the introduction of appropriate new technologies) in preventing and detecting plagiarism in scientific works of scientific, scientific and pedagogical, pedagogical, other workers and applicants of higher education and bringing them to disciplinary responsibility.

5. SUMMARY OF MAIN ACTIVITIES (SIZE OF STATUTE CAPITAL)

  • The deposit of the founder (owner) to the authorized capital of the academy can be money, securities, other things, property rights, unless otherwise established by the current legislation.

  • Monetary estimation of the property contribution of the founder (owner) is determined by the founders (owners) and approved by the general meeting of founders (owners).

  • Reduction of the authorized capital is carried out in cases and in the manner determined by the current legislation of Ukraine, by decision of the general meeting of founders (owners).

  • Increase of the authorized capital of the academy is carried out after making all the founders (owners) of the Academy of their deposits in full.

  • The authorized capital of the Academy is considered as amended after the registration of the respective amendments to this Statute in the manner established by the legislation of Ukraine and this Statute.

6. SOURCES OF RECURRENCE AND PROCEDURE FOR THE USE OF FUNDS AND OTHER ACADEMIC MACHINES. MATERIAL AND TECHNICAL BASIS OF ACADEMY

    • Gratuitous or charitable contributions of enterprises, establishments, organizations or citizens;

    • Other sources are not prohibited by the legislation of Ukraine.

  • The amount of tuition fees or for the provision of additional educational services is established in the Monetary unit of Ukraine – Hryvnia, on the basis of reasonable economic calculation, taking into account the appropriate level of profitability, including the account of the official Level of inflation for the previous calendar year. Contracts can be entered with the customers of such services to individuals and legal entities. Payment of services, including in the application of intellectual property and similar products, except for the works protected by copyright under the agreements, which are concluded with non-residents and foreign contractors, may be entered in foreign currency with Taking into account the requirements of Ukrainian legislation on foreign economic activity.

  • The Academy has the right to receive payment for foreign currency tuition for the study of international students, which is credited to the account of the Academy, opened in the bank’s offices in accordance with the legislation of Ukraine.

  • The academy’s income tax and other types of deductions are conducted in accordance with the current legislation of Ukraine.

The right to decide on the alienation of the Academy’s immovable property belongs exclusively to the General Meeting of Founders (owners).

  • The Academy has the right to insure its property in insurance organizations.

  • The academy estimates and is approved in accordance with the current legislation of Ukraine.

  • The allocation of expenditures is carried out only within and at the expense of relevant receipts, taking into account the objective need in the means stipulated by the nature of the academy, with the implementation of the requirements of the current legislation of Ukraine on the priority provision Expenditures for payment of labour with calculation, economic maintenance.

  • Expenditure on the development of logistical and laboratory bases is planned based on the amount of work done, the necessity of repayment of receivables and payables, implementation of licensed software products for conducting Educational and scientific activities, etc.

  • Revenues are used to finance expenditures for the Academy’s maintenance, realization of goals (goals, tasks) and directions of the Academy’s activities, determined by this Statute.

  • Profit of the academy is formed from revenues from economic activity after covering the material and equivalent to them costs and expenses for remuneration. The academy balance is paid by interest on the banks ‘ credits and are also made by the legislation of Ukraine taxes and other payments to the budget.

  • The distribution of net profit between the founders (owners) of the academy is carried out proportionally to the size of their shares in the authorized capital of the academy. Distribution of net profit between founders (owners) of the Academy can be carried out by means of transfer of the founder (owner) of the Academy of Immovable property.

  • All issues related to the distribution of profits and the coverage of possible damages are considered and approved by the general meeting of the founders on the results of fiscal year.

7. FOUNDERS (OWNERS) OF THE ACADEMY

  • The founders (owners) of the Academy are:

  • The powers of the founders (owners) on the management of the Academy are determined by the legislation of Ukraine, and also this Statute.

  • The founders (owners) do not comply with its obligations and bear the risk of losses related to the academy’s activity within the value of their deposits.

  • Founders (owners) carry out their powers on the management of the Academy through the general meeting of founders (owners), supervisory board, Revision Commission, as well as through their assigned authorized persons from the number of the management staff of the Academy.

  • Founders (owners) have the right:

    • To get out in the established order from the founding members (owners);

    • To sell or otherwise to feel your share in the statutory capital of the Academy;

    • To participate in the management of the Academy in the forms and procedures defined by this Statute;

    • Receive dividends from the academy’s activity. The right to have persons who are founders (owners) at the beginning of dividend payment

    • To appoint their representatives to take part in the general meeting of the founders (owners) and withdraw them.

    • To commit other actions stipulated by the legislation of Ukraine and this Statute.

  • Founders (owners) are obliged to:

    • To comply with the requirements of constituent and other internal documents of the Academy;

    • To fulfill decisions of the general meeting of founders (owners);

    • To fulfill their obligations to the Academy, including those related to property participation;

    • Not to disclose commercial secrets and confidential information about the academy’s activities;

    • To promote the academy’s officials in providing the organization of the Academy’s activities;

    • Do not commit actions that may adversely affect the activities and functioning of the Academy, its officials, as well as the educational process;

    • Perform other duties stipulated by the legislation of Ukraine and decisions of the general meeting of the founders (owners).

  • The founder, who systematically does not perform or perform not properly their duties or their actions interferes with the achievement of the purpose and tasks of the academy and in case of violation of the obligation defined by P. 7.6.6. The statute may be excluded from the academy by the decision of the general meeting of the founders (owners). Thus, such founder (owner) (or his representative) does not take part in the vote.

  • The founder (owner) of the Academy may with the consent of the rest of the founders (owners) to withdraw their share (part thereof) by one or more founders (owners) of the same academy or third parties. Founders (OWNERS) have the privilege right to acquire a share in the statutory capital sold by another founder (owner), at the price and on the conditions offered by the founder (owner), the third person proportionally to the share size in the statutory capital Academies belonging to each of them.

The prevailing right of the founders (owners) for the acquisition of a share in the authorized capital sold by another founder (owner) is valid within 20 days from the date of receiving the academy the message of the founder (owner) of the intention to sell a share in the authorized capital.

The term of preemptive rights shall be terminated in case, if before its pop-up from all founders (owners) of the Academy received written applications on use or refusal to use the prevailing right to purchase a share.

The founder (owner) who intends to sell his share in the statutory capital of a third party, is obliged to report to the rest of the founders (owners) with the prices and other conditions of sale of share. The message of the founders (owners) is carried out through the academy. After receiving a written message from the founder (owner) who intends to sell his share in the statutory capital of a third party, the Academy owes within two working days to send copies of the message to all other founders (owners) Academy.

If the founders (owners) do not use the prevailing right to purchase a share, which is offered for sale, within the stipulated statute of the term, the share in the statutory capital may be sold to the third party for the price and on the conditions of the informed academy and its founders (owners).

  • The decision on acceptance of a person in the composition of the founders (owners) of the Academy can be accepted only by the general meeting of founders (owners) in the event of such a person to deposit to the authorized capital of the academy, and in case of alienation of share The founder (owner) of third parties, subject to further changes to the statute of the Academy indicating such persons as founders (owners) of the academy.

  • At the end of the founder (owner) of the Academy in favour of the founder (owner) the cost of part of the property, proportional to its share in the authorized capital of the academy, which provides for payment of the net asset value of the Academy (the difference between Obligations of the Academy). The payment is performed after the report is approved for the year, in which the founder (owner) was from the academy, and within a period of up to 12 months from the date of departure. The founder (owner) who has received a proper part of the profit obtained by the Academy in this year until the moment of its release.

To the same consequences leads exclusion of the founder (owner) from the Academy by the decision of the general meeting of founders (owners).

  • Share capital is inherited by heirs of the founder (owner) according to the requirements of the current legislation of Ukraine.

At the refusal of the heir from admission to the Academy, he is issued in a cash or natural form in the main, proportional share in the authorized capital of the academy, which belonged to the succession, the cost of which is determined on the day of Death of the founder (owner). In these cases, the authorized capital of the academy is subject to decrease. 

8. ACADEMY STRUCTURE 

  • The structure of the Academy is determined in accordance with the Law of Ukraine “on higher education”, this statute and the main tasks of the Academy.

  • The academy has such separate structural subdivisions:

    • Medical-Pharmaceutical College of private higher educational establishment «International Academy of Ecology and Medicine»;

    • Consulting and Preparatory Center of private higher educational establishment «International Academy of Ecology and Medicine»;

  • Consulting and preparatory Center for foreign citizens of private higher educational establishment «International Academy of Ecology and Medicine».

Separate structural subdivisions operate on the basis of rules of this statute and regulations on such structural subdivision.

  • The Academy can create the following structural subdivisions as:

    • Department

    • Faculties

    • Establishments

    • College

    • Technical schools;

    • Branches and representative offices;

    • Branch

    • Subject (cyclic) commissions;

    • Centers

    • Library

    • Sports complexes;

    • And so on.

Structural subdivisions and separated structural subdivisions of the Academy are created in accordance with the norms of current legislation of Ukraine and this Statute. Separate structural subdivisions of the Academy are not legal entities. They are given to the property of the academy and operate on the basis of the approved provision. The structural unit is headed by a Director appointed in accordance with the approved regulation on the structural subdivision. Information about the separate structural subdivisions of the Academy is included into the unified State Register of legal entities and Individuals-entrepreneurs.

  • The Academy structural subdivisions can also be:

    • Educational-Scientific institute as a structural unit of the Academy, which unites the relevant departments, laboratories, research centers and experimental laboratories that conduct educational activities and conduct scientific researches;

    • Scientific, educational-scientific, scientific-research, scientific-production and design institutes, educational-scientific-production centers (clinics, sectors, parts, complexes, etc.), experimental stations, laboratories, design bureaus, post-graduate departments and Doctoral studies, post-graduate education departments, educational-Research farms, educational and production complexes, experimental enterprises, clinical bases of medical education establishments, university clinics (hospitals), polygons, scientific parks, Technoparks, other subdivisions providing practical training of specialists of certain specialties and conduct scientific researches;

  • Preparatory departments (subdivisions), departments of retraining and improvement of personnel qualification, institutes of postgraduate education, laboratories, educational-methodical classrooms, computer and information centers, educational-production and creative Workshops, educational-research farms, production structures, publishing houses, sports complexes, cultural and community destinations, student sport centers;

    • Military Training Units (Military Institute, college, faculty or military training department).   • Other subdivisions, whose activity is not prohibited by law.

    • The branch is a detached structural subdivision of the academy, which is created in order to meet the needs of the regional labour market in appropriate specialists and to approach the place of training of higher education seekers to their place of residence. The branch is not a legal entity and acts on the basis of the approved State Academy and in accordance with the obtained license for conducting educational activities. The branch is headed by the Rector and is subordinated to him. The Director (head) of the branch operates on the basis of regulations on the detached structural subdivision, corresponding to the order or the attorney. Information about a branch of the academy is made to the unified State electronic base on educational issues

    • The faculty is a structural unit of the Academy, which unites departments and/or laboratories and provides training of higher education candidates.

The faculty’s management faculty executes the dean of the Department appointed and dismissed from office by the Rector’s decision.

The dean of Faculty must have scientific degree and/or academic (honorable) title according to the profile of faculty (Educational and Scientific Institute).

The dean of the Faculty can delegate part of his powers to his patronage. The faculty’s powers are determined by the regulations of the faculty, which is approved by the Academic Council of the Academy.

The Dean of the Faculty provides an order on the activities of the relevant faculty, which are obligatory for all participants of the educational process of the faculty and may be cancelled by the rector, if they contradict the legislation, the Statute of the Academy or To harm the academy’s interests.

Early termination of the dean of his powers is possible on the grounds:

  • Determined by the current legislation of Ukraine on labour, education;

  • Violation of the Dean provisions of the current legislation of Ukraine, this Statute, conditions of contract;

  • Committing illegal actions, which caused damage to the academy and founders (owners);

  • Impossibility of fulfillment of work under contract due to disease;

  • On the submission of the Academic Council of the Academy or the senior collegiate body of the Faculty of Public self-government with grounds defined by the legislation of Ukraine on Labour, for violation of this statute and conditions of contract;

  • Other bases of certain contract and current legislation.

    • The department is the basic structural unit of the Academy which conducts educational, methodical and/or scientific activities on a certain speciality (specialization) or intersectoral group of specialties.

The chair is headed by the head of the department, which is appointed and dismissed from office by the Rector’s decision.

Head of Department shall have scientific degree and/or academic (honorable) title in accordance with the profile of department.

  • The Academic Council of structural subdivisions, whose powers are determined by the Academic Council of the Academy, may be formed in the academy according to the Academy statute. The Academic Council of the Academy can delegate part of its powers to scientists of the councils of structural subdivisions. The composition of the relevant scientific councils is formed on the basis defined by this Statute to form the Academic Council of the Academy.

  • The Academy has the right to create representations on the territory of Ukraine and abroad, taking into account the requirements of the current legislation of Ukraine, norms of international law, international agreements, consent to the mandatory provisions of the Verkhovna Rada of Ukraine.

  • Separate structural subdivisions of the Academy are created by the decision of the Academic Council of the Academy, at the submission of Rector of the Academy and function in accordance with the separate provisions, which are developed in accordance

9. ORGANS OF ACADEMY MANAGEMENT

The Academy’s management bodies are:

    • General meeting of founders (owners).

    • Rector.

    • Supervisory board.

    • Academic Council of the Academy.

    • The Auditing Commission (inspector).

    • Working bodies (Rector’s Office, admission Commission, etc.).

The general meeting of the founders (owners) is the supreme administrative body of the academy.

The Executive Body of the Academy is the rector of the Academy, which conducts the current management of the Academy (hereinafter referred to as the “rector”).

Supervisory Board of the collegial body supervising the management of the Academy property and observing the purpose of its creation.

The Scientific Council is a collegial body of the academy’s management.

The control body of the Academy’s financial and economic activities is the Revision Commission.

The workers and deliberative bodies are formed to address current issues of the academy.

In case of liquidation of the company authority on management of the company is transferred to the Liquidation Commission.

10. GENERAL MEETING OF FOUNDERS (OWNERS). 

The general meeting of the founders (owners) is the supreme body of the Academy, which consists of the founders (owners) of the Academy or their appointed representatives. Representatives of the founders (owners) may be permanent or appointed for a certain period. The founder (owner) shall exercise at any time replace his representative at the general meeting of the founders (owners).

The general meeting of the founders (owners) elect the Chairman of the general meeting of the founders (owners) and the Secretary of the general meeting of the founders (owners) who perform their functions in the next general meeting of the founders (owners) and the election Other person.

General meeting of the Founders (owners): Head of the general meeting of the founders; Convokes The general meeting of the founders (owners) according to the order established by this Statute; Signs all documents adopted by the general meeting of the founders (owners), unless otherwise stipulated by the decision of the general meeting of the founders; Signs an Employment agreement (contract) with Rector, unless otherwise provided by the decision of the general meeting of the founders (owners); Performs other duties delegated to this statute and defined by the general meeting of the founders (owners).

Secretary General Meeting of founders (owners), helps the Chairman of the general meeting of the founders (owners) to fulfill his duties during the general meeting of the founders (owners), signs the documents accepted by the general meeting Founders (owners), unless otherwise provided by the decision of the general meeting of the founders (owners) and performs other duties defined by this Statute and the General Assembly of the founders (owners).

The general meeting of the Founders (owners) (regular and extraordinary) is conducted at the main place of the academy, or elsewhere on the territory of Ukraine or beyond.

The general meeting of the founders (owners) is convened at the time of the leader or vice-Rector elected General meeting of the founders (owners) as their representative, but in any case, at least once a year. The General Assembly of the founders (owners) is conducted to approve the annual report of the Academy’s activities, as well as to address other issues within the competence of the general meeting of the founders (owners).

Rector or vice-Rector elected General meeting of the founders (owners) as their representative at least 30 calendar days before the regular general meeting informs the founders (owners) of the time, place of conduct and the agenda General meeting of the founders (owners).

About holding of the general meeting the founders of the Academy are notified in writing, not later, as 30 days before the general meeting of the founders (owners). Notification of the general meeting of the founders (the owners) may be sent in writing by registered mail, by Teletimer, Telegraph, telefax or delivered in person.

Any of the founders (owners) is entitled to demand consideration of the general meeting of the founders (owners), provided that it was delivered no later than 25 days before the meeting.

Not later, as 7 days before the convening of the general Meeting founders (owners) should be given the opportunity to familiarize with the documents submitted for consideration in accordance with the agenda of the general meeting of the founders (owners).

On issues not included in the agenda, the decision can be accepted only with the consent of all founders (owners) present at the general meeting of the founders (owners).

An extraordinary meeting is convened by the rector of the Academy, the Rector-elected general meeting of the founders (owners) as their representative, as well as the Chairman of the general meeting of the founders (owners) in paragraph 10.5 of this Statute, under the following conditions:

1) The emergence of the need to recognize the academy insolvent;

2) Death of a natural person – founder (owner) of the Academy and the desire of heirs to realize their preferential right of admission to the Academy;

3) Liquidation, reorganization of the legal entity – founder (owner) of the Academy;

4) Alienation of the owner (part) of its share (share);

5) In other cases when it is required by the Academy’s interests and in cases stipulated by the current legislation of Ukraine.

The founders (owners) of the academy, possessing more than 20 interest votes, have the right to demand the convocation of the extraordinary general Meeting of the founders (owners) at any time and for any reason concerning the activities of the Academy. If during 25 days the rector of the Academy did not comply with this requirement, they are entitled to convene the general meeting of founders (owners).

It is allowed on the requirement of the founders (owners) of the academy, possessing more than 20 interest votes, convening extraordinary the general meeting of the founders (owners) on the activities of the Academy at any time and without complying with the term Notification of the founders (owners), provided paragraph 10.5. This statute. In this case, the founder (owner)-the initiator of the convening of the extraordinary general meeting, informs in any way specified in clause 10.5. The founder (owner), who has not received notification of the general meeting of the founders (owners), or received it with a delay against the terms, provided in paragraph 5., but attended the general meeting of the founders (owners), is not entitled To dispute the adopted at the general meeting of the founders (owners) of the decision only on the grounds that it was not provided a notification of the general meeting of the founders (owners) in accordance with clause 10.5.

If the founder (owner) or his representative was not present at the general meeting of the Founders (owners) (the next and extraordinary) in connection with the receipt of the notification about holding of the general meeting of the founders (owners) or obtaining Such message is late, from the reasons not dependent on the sender of such notification, while if such notification was sent in accordance with this Statute, the above cannot be the basis for challenging the accepted at the general Founders ‘ Meeting of decisions.

The general meeting of the founders (owners) is considered authorized, if there are founders (owners) or their representatives, possessing more than 50 interest votes.

The founders (owners) have the number of votes proportional to the size of their shares in the charter capital of the Academy. 1% (one percent) of the authorized capital of the Academy equals 1 (one) vote.

General meeting of the Founders (owners):

-Define main directions of the Academy’s activity and approve plans and reports on their implementation;

-Approves the statute of the Academy and, by agreement with the higher collegial organ of public self-government of the academy, introduce amendments, additions or approves new version of;

-Decide to increase or decrease the share capital (amount of fixed assets) of the Academy;

-Solve the issue of withdrawal from the founders (owners) or the entrance to the founders (owners);

-Resolve the issue of exclusion of the founder (owner) of the Academy;

-Decide on the reorganization or liquidation of the Academy, the appointment of the Liquidation Commission, approval of the liquidation balance;

-Make decisions on alienation of immovable property and fixed assets of the Academy;

-Agree on the conclusion of contracts concluded for a sum exceeding the size defined by the general meeting of the founders (owners);

-Decide on the acquisition or alienation of the immovable property of the academy;

-Decide on the burden of property of the Academy;

-Elected and release the Rector;

-Appoint acting Rector’s duties;

-Define the forms of control over Rector’s activity;

-Supervise the financial and economic activities of the Academy, observance of the provisions of the Academy Statute;

-Approves annual results of the Academy’s activities, profit distribution and losses of the Academy;

-Agree on the structure of the Academy;

-Determine the terms of labor remuneration of the academy officials;

-Agree on presentation of Rector’s appointment and dismissal from the post of Vice-rectors, chief accountant of Academy;

-Approve the rector of the Academy and the chief accountant of the Academy;

-Identify and change the axis signed by the signature on behalf of the Academy;

-Exercise other powers stipulated by the legislation of Ukraine and this Statute.

-The founders may delegate individual powers to the Rector or another authority of the academy or the official officer.

-On the issues referred to in paragraph 2),3),4), 5),6),7),8),9),10),11),12),20)) p. 10.10. This statute decisions are considered adopted, if they declare the founders (owners), possessing in conjunction more than 50 interest total number of founders (owners) of the academy. For other issues, decisions are made by a simple majority of votes, unless otherwise established by law.

11. RECTOR 

The rector is the main executive body and official of the Academy, which directly manages the activities of the Academy.

The rector is the representative of the Academy in relations with state bodies, local self-government bodies, legal and natural persons and acts without a power of attorney within the limits of the powers stipulated by the legislation of Ukraine, this Statute and the contract.

The rector is appointed to the post on the decision of the General Meeting of the Founders (owners).

A candidate for the position of the Rector must have a fluent command of the state language, have a scientific degree and experience of work for scientific and pedagogical staff at least 10 years.

The terms of the contract with the Rector (rights, duties and responsibilities, size and procedure for payment of wages, compensations, additional grounds for dismissal) are determined by the General Meeting of the Founders (owners), the Chairman of the General Meeting of the Founders (owners) or authorized by the General Meeting of the Founders (owners) ) person.

The Rector carries out the decisions of the General Meeting of the Founders (owners), the Supervisory Board, the Academic Council of the Academy and other persons authorized by the General Meeting of the founders (owners) of the persons.

The Rector is responsible for the results of financial and economic activity, the state and conservation of real estate and other property of the Academy.

Rector of the Academy within the limits of his powers:

organizes educational activities of the Academy;

defines the structure of the Academy;

develops approvals of the staffing of the Academy;

ensures implementation of the financial plan (estimate);

concludes contracts for an amount not exceeding the amount determined by the General Meeting of the Founders (owners). The conclusion of contracts for the amount exceeding the amount determined by the General Meeting of the Founders (owners) is possible only with the consent of the General Meeting of the Founders (owners);

Approves the cost of tuition and other educational services in the established order;

issues orders and orders concerning the educational activities of the Academy, which is obligatory for all participants in the educational process and the separated structural units of the Academy of assignment;

is responsible for conducting educational, scientific, scientific and technical and innovative activities at the Academy;

coordinates the work of the Academic Council with other bodies of the Academy;

organizes the implementation of the decisions of the Academic Council of the Academy, the General Meeting of the founders (owners);

represents the Academy in state and other bodies, is responsible for the results of its activities before the General Meeting of Founders (owners);

approves the provisions on separate structural units, issues powers of attorney to the heads of separate structural subdivisions and other officials of the Academy for the performance of their functions and powers that do not contradict the requirements of Ukrainian legislation;

is the manager of property and funds within the limits of the powers granted to him;

issues an order, opens bank accounts;

hires and dismisses pedagogical, scientific, scientific and pedagogical workers. Hiring and dismissal of other employees (administrative staff, accounting staff, etc.) is performed on the proposal of the vice-rector elected by the General Meeting of the Founders (owners) of the Academy as their representative;

Provides protection of labor, compliance with law and order;

defines the functional duties of employees, except cases specified by the Statute;

controls the compliance with all units of full-time financial discipline;

ensures professional secrecy;

contributes to the work of the labor collective and creates conditions for their activities;

submits for the approval of the general meeting of the labor collective the internal rules and a collective agreement and signs it after approval;

ensures the creation of conditions for effective and open public control over the activities of a higher educational institution;

concludes agreements and agreements on the provision of educational services, for accommodation in the Academy’s dormitory;

forms a contingent of people studying at the Academy;

supervises the implementation of curricula and programs;

deducts from the Academy and resumes for education of higher education graduates on the grounds provided for by the legislation of Ukraine on education and higher education;

contributes to the work and creates conditions for the activities of student self-government bodies, labor collectives, organizations of trade unions of academics and students, public organizations operating in the Academy;

contributes to the formation of a healthy lifestyle for applicants for education and higher education, strengthening the sports and recreation base of the Academy, creates appropriate conditions for engagement in mass sports;

carries out control over the quality of work of pedagogical, scientific-pedagogical, scientific and other workers;

is responsible for the performance of the Academy before the Founders (owners);

Carries out other powers, determined by the Statute.

The Rector, in accordance with the Charter, in agreement with the General Meeting of the Founders (owners) may delegate part of his powers to his deputies (vice-rectors) and heads of structures;

Issues an order, opens bank accounts;

Hires and dismisses pedagogical, scientific, scientific and pedagogical workers. Hiring and dismissal of other employees (administrative staff, accounting staff, etc.) is performed on the proposal of the vice-rector elected by the General Meeting of the Founders (owners) of the Academy as their representative;

Provides protection of labor, compliance with law and order;

Defines the functional duties of employees, except cases specified by the Statute;

Controls the compliance with all units of full-time financial discipline;

Ensures professional secrecy;

Contributes to the work of the labor collective and creates conditions for their activities;

Submits for the approval of the general meeting of the labor collective the internal rules and a collective agreement and signs it after approval;

Ensures the creation of conditions for effective and open public control over the activities of a higher educational institution;

Concludes agreements and agreements on the provision of educational services, for accommodation in the Academy’s dormitory;

Forms a contingent of people studying at the Academy;

Supervises the implementation of curricula and programs;

Deducts from the Academy and resumes for education of higher education graduates on the grounds provided for by the legislation of Ukraine on education and higher education;

Contributes to the work and creates conditions for the activities of student self-government bodies, labor collectives, organizations of trade unions of academics and students, public organizations operating in the Academy;

Contributes to the formation of a healthy lifestyle for applicants for education and higher education, strengthening the sports and recreation base of the Academy, creates appropriate conditions for engagement in mass sports;

Carries out control over the quality of work of pedagogical, scientific-pedagogical, scientific and other workers;

is responsible for the performance of the Academy before the Founders (owners);

Carries out other powers, determined by the Statute.

The Rector may, in agreement with the General Meeting of the Founders (owners), in accordance with the Charter, delegate part of his powers to his deputies (vice-rectors) and heads of structural divisions.

The Rector reports annually to the General Meeting of Founders and the highest collegiate body of public self-government of the Academy.

In the cases stipulated by this Statute and the General Meeting of the Founders (owners) of the Academy of Cases, the Rector makes a decision solely upon submission by the rector selected by the General Meeting of the Founders (owners) of the Academy as their representative.

A rector may be dismissed from a position by the General Meeting of the Founders (owners) or their authorized person on the grounds determined by the legislation of Ukraine, this Statute and the contract with him.

Early termination of the contract with the Rector is possible on the grounds:

determined by the current legislation of Ukraine on labor and education;

violation by the Rector of the provisions of the current legislation, this Statute, the terms of the contract;

committing unlawful actions that damaged the Academy and / or founders (owners);

impossibility of performing contract work in connection with illness;

on other grounds specified by the contract and the current legislation of Ukraine.

12. SUPERVISORY COUNCIL

Supervisory Board is a collegiate body that oversees the management of the Academy’s property and observes the purpose of its creation.

Supervisory Board of the Academy:

considers ways of perspective development of the Academy;

facilitates the attraction of financial resources to ensure its activity in the main areas of development and control over their use, effective interaction of the Academy with state bodies and local authorities, the scientific community, socio-political organizations and economic entities in the interests of development and quality improvement Educational activity and competitiveness of the Academy;

exercises public control over the activities of the Academy leadership, observance of the norms of the current legislation and the Statute of the Academy; hears reports from the rector of the Academy on the implementation of the statutory tasks of the Academy;

controls, within its competence, the management of the Academy of Property Management;

searches for ways to expand and improve the international cooperation of the Academy;

has the right to participate in meetings of the administration, Academic Council of the Academy, academic councils of its structural divisions, and any other structural units of the Academy with the right of an advisory vote.

The Supervisory Board is formed by the decision of the General Meeting of the Founders (owners).

The personal and quantitative composition of the Supervisory Board, the procedure for its formation, the term of its powers, the competence and procedure of its activities, the procedure and grounds for termination of the powers of its members shall be determined by the provisions of the Supervisory Board, which shall be approved by the General Meeting of the Founders (owners).

The Academy’s members may not be members of the Supervisory Board.

The Supervisory Board has the right to submit to the general meeting of the Founders (owners) the recall of the Rector of the Academy on the grounds provided by law, this Charter and the contract.

13. AUDIT COMMITTEE

Control over the financial and economic activities of the Academy is carried out by the Audit Commission (Auditor). The Audit Commission (Auditor) exercises its powers in accordance with the requirements of this Statute and the provisions of the Audit Commission.

The Audit Commission (Auditor) is elected by the General Meeting of the Founders (owners) or their authorized person. In the period between the holding of the General Meeting of the Founders (owners), the Audit Commission (Auditor) may be elected Vice-Rector elected by the General Meeting of the Founders (owners) as their representative.

Verification of the Academy’s activities is carried out by the Audit Commission on behalf of the General Meeting of the Founders (owners), Vice-Rector elected by the General Meeting of the Founders (owners) as their representative or on their own initiative. The Audit Commission has the right to demand from the Academy officials that they provide all necessary materials, accounting or other documents and personal explanations.

The Audit Commission reports on the results of its inspections at the general meeting of the Founders (owners) and vice-rector selected by the General Meeting of the Founders (owners) as their representative. The Audit Commission makes an opinion on the annual reports and balance sheets.

An extraordinary general meeting of the Founders (owners) shall be convened at the request of the Audit Commission if a threat to the essential interests of the Academy or the Founders (owners) was encountered, or the abuses of the officials of the Academy were discovered.

In the absence of the Audit Commission, the control over the implementation of the financial and economic activities of the Academy may be carried out by the vice-rector elected by the General Meeting of the Founders (owners) of the Academy as their representative.

14. TEACHER OF THE ACADEMY COUNCIL

The Academic Council is a collegiate governing body of the Academy, which is formed for a term of five years and whose membership is approved by the order of the Rector of the Academy. The composition of the Academic Council is approved by the order of the Rector within five working days from the date of termination of the powers of the previous composition of the Academic Council of the Academy.

In its activities, the Academic Council of the Academy is guided by the legislation of Ukraine, this Charter and the provisions of the Academic Council of the Academy.

The personal composition of the Academic Council of the Academy is approved by the order of the Rector of the Academy. At the same time, not less than 75 percent of the total number of Academic Council members of the Academy shall be scientific, scientific and pedagogical workers of the Academy and not less than 10 percent – elected representatives from the number of persons studying in the Academy.

The Academic Council of the Academy is headed by the Chairman of the Academic Council, which is elected by secret ballot from among the members of the Academic Council of the higher educational institution with a degree and / or academic (honorary) title for the term of the Academic Council. The Academic Council chooses the Vice-Chairman of the Academic Council in the same order.

The head of the Academic Council carries out general management of the Academic Council of the Academy, determines the procedure for its work, coordinates the work of the structural units and the Academy staff for the preparation of materials on issues that are submitted for consideration by the Academic Council and presides at its meetings. In the absence of the Chairman of the Academic Council, the Deputy Chairman of the Academic Council carries out its activities.

The Academic Council of the Academy includes posts, rector, vice-rectors, heads of departments (educational-scientific institutes), academic secretary, director of the library, chief accountant, heads of self-government bodies and elective bodies of primary trade union organizations of higher educational institutions, as well as elected representatives , representing scientific, scientific and pedagogical workers and elected from among the heads (heads) of departments, professors, doctors of philosophy, doctors of sciences, elected representatives who place other employees of the higher educational institution and work on it on an ongoing basis, elected representatives of postgraduate students, doctoral students, trainees, assistant interns, interns, resident physicians, clinical residents, heads of elective bodies of primary trade union organizations of students and postgraduates, heads of student self-government bodies a higher educational establishment in accordance with the quotas determined by the statute of the higher educational institution.

Elections to the Academic Council begin within 30 (thirty) calendar days before the expiration of the powers of the previous composition of the Academic Council.

The functions of the secretary of the Academic Council are performed by the academic secretary, who convenes on the instructions of the chairman of the Academic Council of its meeting, ensures the organization of its activities, preparation of its work plans, issues of the agenda of meetings of the Academic Council, taking into account the proposals of its members, monitors the implementation of the decisions of the Academic Council and regularly informs about the course of their implementation, the head of the Academic Council

Academic Council of the Academy:

determines the strategy and perspective directions of development of educational, scientific and innovative activity of the Academy;

develops and submits to the higher collegiate body of public self-government the draft statute of the higher educational institution, as well as the decision on amendments and additions thereto;

approves the financial plan and the annual financial report of the Academy;

determines the system and approves the procedures for the internal quality assurance of higher education;

approves, upon the submission of the Rector of the Academy, a decision on the formation and termination of structural units;

Approves educational programs and curricula for each level of higher education and specialty;

adopts decisions on the organization of the educational process, defines the terms of training at the appropriate levels;

Approves the model and procedure for the production of its own document on higher education, the procedure for and the grounds for issuing it to graduates, as well as samples, procedure, procedure and grounds for issuing graduates of joint and double diplomas;

adopts the main directions of conducting scientific research and innovation activities;

assesses the scientific and pedagogical activity of structural units;

Assigns the title of professor, associate professor and senior researcher and presents relevant decisions for approval to the certification body of the central executive authority on the formation of state policy in the field of education and science;

makes final decisions on the recognition of foreign documents on higher education, degrees and academic titles in the recruitment of teaching, scientific, scientific and other, as well as during enrollment of apprentices;

makes final decisions on the recognition of documents on higher education issued by institutions of higher spiritual education, the statutes (regulations) of which are registered in accordance with the procedure established by law, during enrollment of applicants for study;

Approves the provision for direct secret election of elected representatives from the number of persons studying;

considers other issues of the Academy’s activities in accordance with the Statute.

Decisions of the Academic Council of the Academy are introduced by the decisions of the Rector of the Academy.

Academic councils of structural subdivisions whose powers are determined by the academic council of the Academy in accordance with the Statute may be formed at the Academy. The Academic Council of the Academy may delegate part of its powers to the scientists of the councils of structural subdivisions. The composition of the respective academic councils is formed on the sessions established by the legislation of Ukraine on higher education.

15. REPRESENTATIVE OF GENERAL MEETINGS OF MEMBERS (OWNERS) OF THE ACADEMY

The General Meeting of the Founders (owners) by its decision elect its representative in the Academy from the number of vice-rectors, who oversees the implementation of the decisions of the General Meeting of the Founders (owners) of the Academy, and also controls the activities of the Academy’s management bodies.

The vice-rector elected by the General Meeting of the Founders (owners) as their representative is accountable and controlled by the General Meeting of the Founders (owners).

The rector, upon request of the vice-rector, elected by the General Meeting of the Founders (owners) as their representative, must provide an opportunity to review any information and documents on the activities of the Academy.

The vice-rector elected by the General Meeting of the Founders (owners) as their representative has the right to cancel the decisions, orders and other documents of the Rector if such decisions, orders and documents contradict the current legislation of Ukraine, the provisions of this Statute, the purpose of the Academy, as well as in the case if their execution can harm the Academy and the Founders (owners) or lead to disruption of the educational process.

The vice-rector elected by the General Meeting of the Founders (owners) as their representative has the right to submit to the General Meeting of the Founders (owners) the dismissal of the Rector of the Academy on the grounds provided by law, this Statute and the contract.

The vice-rector elected by the General Meeting of the Founders (owners) as their representative has the right to convene the General Meeting of the Founders (owners) of the Academy in accordance with the procedure established by this Statute.

16. WORK AND DEPARTMENT BODIES

Workers and advisory bodies are formed to solve current issues of the Academy by the Rector’s decision.

To solve current issues of the Academy, working and advisory bodies are created:

a rectorate;

dean’s office;

selection committee;

an administrative council, etc.

Rectorate – a working body formed to address the current issues of the Academy. The rectorate, which is approved by the Rector, includes: Rector, vice-rectors, deans of faculties, academic secretary of the Academy, chief accountant, heads of structural units, executive secretary of the admissions committee.

Admission Committee – a working body formed for the organization of admissions, develops rules for admission to the Academy and other necessary documents, in accordance with the requirements of the current legislation.

The composition of the admissions committee is approved by the Rector of the Academy, which is the chair of the admissions committee. The term of authority of the admissions commission is one calendar year.

Admission Committee within the limits of its authority:

coordinates the activities of the Academy units, which are engaged in professional orientation of youth,

arranges reception of documents, makes decisions on admission of admittances to advanced tests, determines the conditions for admission to the Academy;

carries out control over the work of subject examination commissions;

controls the activities of technical, informational and domestic services to ensure the organization and hosting of students.

Under the decision of the Rector or the Academic Council of the Academy, other working bodies may be created at the Academy.

The working bodies of the Academy act on the basis of the legislation, this Charter and the provisions of them, which are approved by the Academic Council.

In order to develop strategies and directions for conducting educational and / or scientific activities, the Academy may be formed on a voluntary basis by advisory bodies, regulations approved by the Academic Council of the Academy.

17. BODIES OF THE PUBLIC SELF-GOVERNMENT ACADEMY

The highest collegiate body of public self-government of the Academy is the general meeting (conference) of the labor collective, including elected representatives of students.

The general meeting (conference) of the Labor Collective of the Academy is convened on the initiative of the Rector, the Vice-Rector or the Academic Council of the Academy, as well as at least one third of the employees of the structural subdivisions.

The General Assembly of the Labor Collective of the Academy includes all Academy staff who work on an ongoing basis and elected representatives of students. Employees, including scientific, scientific and pedagogical, pedagogical workers of structural units working part-time or on hourly wages, do not take part in the General Meeting (conference) of the labor collective and can not be elected by their delegates.

Elected representatives of the students at the General Meeting of the Labor Collective of the Academy are elected by the students of the Academy, through direct secret or open voting.

A general meeting of the Academy’s labor collective is deemed valid if at least half of the employees are present on the total number of employees who work on a permanent basis at the Academy.

The decision of the general meeting of the Academy’s labor collective shall be drawn up in two copies, signed by the chairman and secretary of the general meeting of the Academy’s labor collective.

The conference of the labor collective is an elected body of the public self-government of the Academy. At the conference of the Labor Team of the Academy, all categories of participants in the Academy’s educational process should be represented. At the same time, not less than 75 percent of the delegates (members) of the elective body shall be scientific, pedagogical and pedagogical workers of the Academy, which work in this institution on a permanent basis, and not less than 15 percent – elected representatives from the number of students (cadets) , which are selected by students (cadets) through direct secret elections.

Delegates of the conference of the Labor Collective of the Academy are elected by the general meeting of labor collectives of institutes (faculties) and other structural units and students, by means of direct secret or open voting within the limits of quotas established by the provisions of the conference of the Labor Collective of the Academy.

The procedure for convening, making decisions by the General Meeting (conference) of the labor collective of the Academy, the quantitative composition, is determined by this Statute and the provisions on the general meeting (conference) of the labor collective of the Academy, which, in agreement with the Rector, is approved by the Academic Council of the Academy.

A higher collegiate body of public self-government is convened at least once a year. The composition of a higher collegial body of public self-government must comply with the requirements of the current legislation of Ukraine, including legislation on higher education.

The highest collegiate body of public self-government:

elect members of the Council of the labor collective representing the interests of a higher collegial body of public self-government and approves the provisions of the Workers’ Council;

agrees, upon submission of the Academic Council of the Academy, to the statute of the Academy or to the amendment (additions) to it;

hears an annual report of the Rector of the Academy and assesses his activity;

selects a labor disputes commission in accordance with the legislation of Ukraine on labor;

approves the rules of the internal order of the Academy and, in the person of the Chairman of the Council of the labor collective, concludes the Collective agreement;

considers other issues related to the activities of the Academy.

In the structural subdivisions and separate structural subdivisions of the Academy, self-governing bodies of public self-government may be established, whose activities must comply with the requirements of the current legislation of Ukraine, including legislation on higher education.

The procedure for convening a body of public self-government of the faculty and its activities is determined by this Statute and the provisions on the meeting (conference) of the labor collective of the faculty, which, in agreement with the Rector, is approved by the Academic Council of the Academy.

All faculty members and elected representatives from the faculty are to be represented in the faculty of public administration. At the same time, not less than 75 percent of the delegates (members) of the electoral body should be made up of scientific and scientific-pedagogical workers of the faculty and at least 15 percent – elected representatives from the number of students elected by the students through direct secret elections.

A meeting (conference) of the participants of the educational process of the faculty is convened at least once a year.

Self-governing body of the faculty:

assesses the activities of the dean (director) of the faculty;

Approves the annual report on the Faculty;

submits proposals to the Rector on dismissal of the dean of the faculty on the grounds provided by the legislation of Ukraine, this Charter, the contract with him;

elect elected representatives to the Academic Council of the faculty;

elect delegates to a higher collegiate body of public self-government of the Academy.

 18. BODIES OF STUDENT SELF-GOVERNMENT ACADEMY.

Scientific societies of students, postgraduates, doctoral students and young scientists

The Academy, its separate structural subdivisions and structural subdivisions operate on student self-government, which is an integral part of public self-government. Student self-government brings together all the students of the Academy. All students studying in the Academy have equal rights and may be elected and elected to work, advisory, electoral and other student self-government bodies. Student self-government provides protection of the rights and interests of students and their participation in the management of the Academy. Student self-government is carried out by students both directly and through the bodies of student self-government, which are selected through direct student secret ballot.

In their activity, the bodies of student self-government are guided by the Constitution of Ukraine, the legislation on higher education, international treaties, the consent of which is binding on the Verkhovna Rada of Ukraine, international law (applies exclusively to participants of foreign economic activity), the Charter of the Academy and the provisions on student self-government, which approved by the highest body of public self-government of the Academy after the approval of the supreme body of student self-government.

  • The bodies of student self-government act on the principles:

  • voluntariness, collegiality, openness;

  • Election and reporting of student self-government bodies;

  • equality of the right of students (cadets) to participate in student self-government;

  • independence from the influence of political parties and religious organizations.

  • Student self-government is carried out at the level of a student group, institute (faculty), department, separate structural subdivision, structural subdivision, hostel (student campus), Academy. Bodies of student self-government can have various forms (parliament, senate, old-rule, student’s administration, student’s deanship, councils, etc.). Representative, executive and controlling bodies of student self-government are elected for a term that is determined by the norms of the current legislation of Ukraine. The term of stay of the student’s self-government head and his deputy is determined by the legislation on higher education.

  • Student Self-Government Bodies:

  • participate in the management of the Academy in accordance with the procedure established by the legislation of Ukraine on higher education and this Statute;

  • Participate in the discussion and resolution of issues of improvement of educational process, research work, organization of leisure, health improvement, life and nutrition;

  • organize organizational, educational, scientific, sports, health and other activities;

  • Participate in measures (processes) for ensuring the quality of higher education and education in general;

  • protect the rights and interests of students;

  • delegate their representatives to the working, consultative and advisory bodies;

  • adopt acts regulating their organization and activities;

  • if necessary, take part in solving the issues of ensuring the creation of proper living conditions for students in dormitories and nutrition of students;

  • Dispose of funds and other property that they can allocate, etc.

  • In agreement with the student body of the Academy, the Academy decides on:

  • deducting students from the Academy and their renewal to study;

  • if necessary, the settlement of persons studying at a higher educational institution in a hostel and evicting them from a hostel, the activity of student towns and hostels for the accommodation of persons studying at a higher educational establishment;

  • Approval of the rules of the internal order of the Academy in the part concerning the persons who study;

  • activity of student dormitories for accommodation of persons studying at a higher educational institution.

  • The supreme body of students’ self-government is a general meeting (conference) of students that:

  • Adopt the provisions on student self-government, determine the structure, powers and procedure for conducting direct secret elections of representative and executive bodies of student self-government;

  • Hear reports of representative, executive and controlling bodies of student self-government, give them an appropriate assessment;

  • approve the procedure for the use of property and funds of student self-government bodies that they can allocate, support students’ initiatives on a competitive basis, and others like that.

  • The Administration of the Academy has no right to interfere with the activities of student self-government bodies, except when such activity is contrary to the legislation of Ukraine, the Statute of the Academy or harms the interests of the Academy.

  • The rector of the Academy, if necessary, contributes to the creation of proper conditions for the activities of student self-government bodies (provides premises, furniture, office equipment, provides telephone communication, permanent access to the Internet, allocates space for the installation of information stands, etc.). The financial basis of student self-government, if necessary, is determined by the rules of higher education law.

  • The Academy and its separate structural subdivisions have scientific societies of students, postgraduates, doctoral students and young scientists who are part of the system of public self-government. Students, postgraduates, doctoral students and young scientists participate in the work of the scientific community of persons under the age of 35 (40 years for doctoral students) who study or work in the Academy.

  • The Scientific Society of Students, Postgraduates, Doctoral Students and Young Scientists provides protection for the rights and interests of persons studying or working in the Academy, in particular, in matters of scientific activity, support of knowledge-based ideas, innovations and knowledge sharing.

  • In their activities, scientific societies of students, postgraduates, doctoral students and young scientists are governed by the current legislation of Ukraine, international treaties, the consent of which is binding on the Verkhovna Rada of Ukraine, international law (applies exclusively to participants of foreign economic activity), the Statute of the Academy and the provisions on scientific associations of students, graduate students, doctoral students and young scientists.

  • Scientific societies of students, postgraduates, doctoral students and young scientists operate on the principles:

  • freedom of scientific creativity;

  • voluntariness, collegiality, openness;

  • the equality of the right of the persons being studied to participate in the activities of the scientific societies of students, postgraduates, doctoral students and young scientists.

  • Scientific societies of students, postgraduates, doctoral students and young scientists:

  • adopt acts regulating their organization and activities;

  • conduct organizational, scientific and educational events;

  • promote scientific activity among students of the youth, promote the attraction of people who study to scientific work and innovation activities;

  • Represents the interests of students, postgraduates, doctoral students and young scientists before the Academy administration and other organizations on research and development of academic careers;

  • contribute to improving the quality of scientific research;

  • facilitate the exchange of information between young scientists and researchers;

  • promote the development of inter-university and international cooperation;

  • Interact with the National Academy of Sciences and national branch academies of sciences, scientific and research institutions;

  • perform other functions stipulated by the provisions on the scientific societies of students (cadets, students), postgraduates, doctoral students and young scientists and the norms of the current legislation of Ukraine.

  • Bodies of management of scientific societies of students, postgraduates, doctoral students and young scientists are formed on a democratic basis through elections. The structure of the scientific community of students, postgraduates, doctoral students and young scientists and the organizational mechanism of its activities are determined by the provisions approved by the highest collegiate body of public self-government of the Academy.

  • The Administration of the Academy has no right to interfere in the activities of the scientific societies of students, postgraduates, doctoral students and young scientists, except when such activity is contrary to the legislation of Ukraine, the Statute of the Academy or harms the interests of the Academy.

The Rector of the Academy, if necessary, fully supports the creation of appropriate conditions for the activities of the scientific community of students, postgraduates, doctoral students and young scientists (provides premises, furniture, office equipment, provides telephone communication, permanent access to the Internet, allocates space for the installation of information stands, etc. ) The financial basis of a scientific society, if necessary, is determined by the norms of Ukrainian legislation on higher education.

19. RIGHTS AND OBLIGATIONS OF SCIENTIFIC AND PEDAGOGICAL, SCIENTIFIC AND PEDAGOGICAL WORKERS, GUARANTEES AND QUALIFICATION IMPROVEMENT

  • Academic pedagogical, scientific and pedagogical workers have the right to:

  • Academic freedom, realized in the interests of the individual, society and mankind as a whole;

  • Academic mobility for conducting professional activities;

  • to protect professional honor and dignity;

  • to participate in the discussion and resolution of issues related to the activities of the Academy;

  • elect and be elected to the general meeting (conference) of the labor collective and the Academic Council of the Academy, the Pedagogical Council of the separate structural unit;

  • choose the methods and means of training that provide the high quality of the educational process;

  • to ensure the establishment of appropriate working conditions, improve their skills, recreation and life, prescribed by regulations of the Academy, the terms of individual employment contracts, collective agreements and norms of current legislation of Ukraine;

  • use library, information resources, educational, scientific, sports, cultural and educational divisions of the Academy for free;

  • to protect intellectual property rights;

  • for advanced training and internship;

  • take part in associations of citizens;

  • for social and pension provision in accordance with the procedure established by the legislation, etc.

  • Scientific and pedagogical, scientific and pedagogical workers also have other rights stipulated by the current legislation and this Statute. Scientific and pedagogical and scientific workers of higher educational institutions are subject to all the rights stipulated by the legislation for scientific workers of scientific institutions.

  • Scientific and pedagogical, scientific and pedagogical workers are obliged to:

  • provide training at a high scientific and theoretical and methodological level disciplines relevant educational program in the specialty, conduct research activities (for scientific teaching staff);

  • raise professional level, pedagogical skills, scientific qualification (for scientific and pedagogical workers);

  • comply with pedagogical ethics, morality, respect the dignity of persons enrolled in the Academy, to instil in them a love for Ukraine, educate them in the spirit of Ukrainian patriotism and respect for the Constitution of Ukraine and the state symbols of Ukraine;

  • to develop the independence, initiative, and creativity of persons studying in the Academy;

comply Charter Academy, the current legislation of Ukraine, international treaties ratified by the Verkhovna Rada of Ukraine, international law (exclusively for participants of foreign economic activity).

Scientific and pedagogical, scientific, pedagogical and other workers of higher educational establishments: proper conditions for work, qualification improvement, organization of everyday life, recreation and medical services are created; are paid in case of loss of compensation in accordance with the legislation.

Scientific and pedagogical, scientific and pedagogical workers of the Academy establish additional payments, determined by the norms of the current legislation of Ukraine.

The rector of the Academy, on the proposal of the vice-rector elected by the General Meeting, the founders (owners) as their representative, establishes the order, the amount of additional payments, allowances, awards, material assistance and encouragement of pedagogical, scientific-pedagogical, scientific and other workers of the Academy in accordance with the legislation and the Collective agreement.

Pedagogical and scientific and pedagogical workers improve their qualifications and undergo internships in relevant scientific and educational institutions, higher educational establishments, as well as at enterprises, institutions, organizations, state bodies and local self-government bodies both in Ukraine and abroad.

The Academy has the right to provide advanced training and internships for pedagogical, scientific and pedagogical workers.

Results of refresher training and internship are taken into account: during the certification of pedagogical staff; at the time of election to a position by competition or conclusion of an employment contract with scientific and pedagogical workers.

20. Rights and obligations of persons studying at the Academy

persons studying at the Academy are entitled to:

selection of a form of study when entering the Academy;

safe and harmless conditions of study, work and life;

work outside of school hours;

additional paid leave due to study at the main place of work, reduced working hours and other benefits stipulated by law for persons who combine work with education;

free use of the libraries, information collections, academic, scientific and athletic facilities of the Academy;

use of the industrial, cultural, domestic, recreation bases of the Academy in the manner prescribed by the Charter of the Academy;

if necessary, provision of a hostel for the term of training of persons in the manner prescribed by law;

participation in research and development works, conferences, symposiums, exhibitions, contests, presentations of their works for publications;

participation in educational, scientific, research, sports, artistic, social activities conducted in Ukraine and abroad, in accordance with the procedure established by law;

participation in the discussion and resolution of issues of improvement the educational process, research work, the appointment of scholarships, organization of leisure, life, health improvement;

participation in citizens ‘ associations;

participation in the activities of public self-government bodies of the Academy, separate structural subdivisions, faculties, departments, Academic Council of the Academy, student self-government bodies;

academic mobility, including international;

the right to receive social assistance in cases established by law;

enrollment in the insurance period in accordance with the Law of Ukraine “On Compulsory State Pension Insurance” for periods of full-time education at the Academy, postgraduate studies, doctoral studies, clinical residency, internship, residency, subject to voluntary payment of insurance premiums;

the right to academic leave or a break in studies with the preservation of certain rights of the applicant for higher education, as well as the resumption of training in the manner established by the Central Executive body for the formation of state policy in the field of education and science;

participation in the formation of an individual curriculum;

moral and/or material incentives for academic achievement, research and public work, artistic and sporting achievements, etc.;

protection from all forms of exploitation, physical and mental violence;

passing the practice at enterprises, institutions and organizations, as well as on labor remuneration while performing production functions in accordance with the legislation;

vacation leave of at least eight calendar weeks for the school year;

appeals against actions of the governing bodies of the Academy and their officials, pedagogical and scientific and pedagogical workers, etc.

Individuals studying in the Academy on a full-time basis may receive other scholarships that are prescribed by physical (juridical) persons. Higher education students studying in the Academy on a full-time basis have the right to privileged transportation in the manner in accordance with the procedure established by the Cabinet of Ministers of Ukraine.

Students of the Academy have the right to receive a student ticket, the model of which is approved by the central executive body for the formation of state policy in the field of education and science.

Persons studying at the Academy are required to:

adhere to the requirements of the legislation of Ukraine, the Statute of the Academy and the internal rules of the Academy;

to comply with the requirements for occupational safety, industrial sanitation, fire safety, provided by the relevant rules and instructions;

fulfill the requirements of the educational (scientific) program.

21. ORGANIZATION OF EDUCATIONAL PROCESS IN ACADEMY

Educational process – is an intellectual, creative activity in the field of higher education and science, which is carried out in a higher educational institution (scientific institution) through a system of scientific-methodical and pedagogical activities and is aimed at the transfer, mastering, multiplication and use of knowledge, skills and other competencies in persons who study, as well as the formation of a harmoniously developed personality.

The Regulations on the organization of educational process are approved by the Academic Council.

The educational process is based on the introduction the latest pedagogical technologies that guarantee intensive and deep knowledge acquisition focused on the formation of an educated, harmoniously developed personality capable of continuous updating of knowledge, professional mobility and rapid adaptation to changes in the development of society.

The main normative document defining the organization of the educational process is the curriculum. To specify the planning of the educational process for each academic year, a working curriculum is drawn up. Normative educational disciplines are established by the state standard of education. Observing their names and volumes is obligatory for the Academy. Selective academic disciplines are determined by the Academy, their list is approved by the Academic Council of the Academy.

For each academic discipline that is part of an educational professional training program, based on the curriculum and the curriculum of the Academy, a working curriculum of discipline, which is the normative document of the Academy, is being prepared.

Teaching in the Academy is conducted in the state language, as well as in English and other foreign languages, which provides international academic mobility.

For the teaching of academic disciplines in a foreign language, the Academy creates separate groups for foreign citizens, stateless persons who wish to obtain higher education for the benefit of individuals or legal entities, or individual programs are being developed. In this case, the Academy provides for the study of such persons of the state language as a separate discipline.

Education at the Academy is carried out in the following forms:

Day (full time);

Correspondence, distance;

Evening class.

Learning forms can be combined. The terms of study with the corresponding forms are determined by the possibilities of the implementation of educational and professional training programs for specialists of a certain educational-qualification level.

The academic process in the Academy is carried out in the following forms: training sessions, independent work of the student, practical training and control (modular) activities.

The main types of academic training at the Academy:

lecture;

laboratory, practical, seminars, individual classes;

consultation;

other occupations.

The participants in the educational process at the Academy are:

scientific and pedagogical workers;

applicants for higher education and other persons studying at the Academy;

practitioners who are involved in the educational process at educational and vocational programs;

other Academy staff.

Employers can be involved in the educational process.

The main positions of scientific and pedagogical workers of the Academy are:

rector;

vice-rector;

the director (head) of the institute, his deputies whose activities are directly related to the educational or the scientific process;

the dean (head) of the faculty, his deputies, whose activities are directly related to the educational or the scientific process;

head (head) of the department;

professor;

associate professor;

senior Lecturer, Teacher, Assistant, Lecturer-trainee;

library scientist;

other posts.

The positions of scientific and pedagogical workers are selected according to the competition (except in cases of outstanding statutory provisions), as a rule, persons who have degrees or academic titles, as well as graduates of the magistracy, post-graduate and doctoral studies. The procedure for replacing vacant positions of scientific and pedagogical workers is determined by the requirements of the legislation of Ukraine on higher education. The main positions of pedagogical workers of separate structural subdivisions are determined by the requirements of the legislation of Ukraine on higher education.

During the placement of vacant positions of scientific and pedagogical workers – heads of departments, professors, associate professors, senior lecturers, faculty members, and the conclusion of an employment contract (contract) is preceded by a competitive selection, the procedure of which is approved by the Academic Council of the Academy.

In some cases of impossibility to provide the educational process with existing staff members, vacant positions of scientific and pedagogical workers may be replaced by an employment contract before the competitive replacement of these positions in the current academic year.

The units of the student’s academic hours are academic hours, academic week, semester, year. The academic semester is an integral part of the student’s academic hours, ending with the final semester control. The duration of the semester is determined by the curriculum.

Academic sessions are conducted on a schedule that ensures the full implementation of the work curriculum.

The working time of a teacher in the Academy is determined by the amount of his teaching, methodological, scientific, educational and organizational responsibilities in the current academic year, reflected in his individual curriculum.

The success of the students is determined in accordance with the requirements of the current legislation of Ukraine and the normative documents of the profile ministry.

Students’ transfer who have mastered the discipline for the next course is carried out by order of the Rector of the Academy.

For systematic monitoring of learning outcomes, the following types of control are used: current, final.

Scientific and methodological support of the educational process is an integral part of the high quality of students’ training. To this end, the Academy created educational and methodological complexes that include:

state standard of educational qualification levels;

work curriculum;

curricula of all normative and selective academic disciplines;

programs of educational, industrial and other types of practice;

textbooks and tutorials;

instructional materials for seminars, practical and laboratory classes;

banks of control tasks in educational disciplines to verify students’ acquisition of educational material;

criteria for assessing the level of students’ knowledge of a particular discipline;

methodical materials for students on the issues of independent study of professional literature, writing course papers and theses, etc.

22. Purpose, task, organization and implementation of scientific, scientific-technical, innovative activities in the Academy. Intellectual property rights and their protection

  • Scientific, scientific-technical, innovative activities in the Academy are an integral part of educational activity and are carried out in order to integrate scientific, educational and production activities in the system of higher education.

  • The subjects of scientific, scientific-technical, innovative activity are scientific, scientific and pedagogical workers, persons studying in the Academy; other Academy employees, as well as employees of enterprises that, together with the Academy, carry out scientific, scientific-technical and innovative activities.

  • The main purpose of scientific, scientific-technical and innovative activity is the acquisition of new scientific knowledge through research and development and their focus on the creation and introduction of new competitive technologies, types of techniques, materials, etc. to provide innovative development of society, training of specialists of innovative type.

  • The main tasks of the Academy’s scientific, scientific-technical and innovation activities are: the obtaining of competitive scientific and scientific-applied results; application of new scientific, scientific and technical knowledge during training of specialists with higher education.

  • Scientific, scientific-technical and innovative activities in the Academy are conducted in accordance with the legislation of Ukraine on educational, scientific, scientific, technical and innovative activities. Scientific, scientific-technical and innovation activities in the Academy can be carried out on the basis of state orders, as well as in accordance with agreements with enterprises, institutions, organizations of all forms of ownership, international contracts, grants, other revenues from servicing through banking institutions without restrictions on the part of state authorities, the sphere of management of which includes higher education institutions.

  • Scientific, scientific-technical and innovation activities can be carried out both directly by the Academy and through legal entities established by them, whose subject matter is the mere proof of the results of the scientific and scientific and technical activities of the Academy to the state of the innovation product and its further commercialization.

  • The organizational structure of innovation activity, including the creation of scientific parks, small innovation-oriented enterprises and interaction with them, is determined by the Academy independently in accordance with the legislation of Ukraine.

  • Academic and scientific work can be carried out at the academy, scientific and pedagogical workers, other employees of higher educational establishments, persons studying in the Academy, as well as employees of other organizations.

  • The acquisition, protection and protection of the rights of the Academy regarding the results of its own scientific and scientific-technical activities is ensured in accordance with the legislation of Ukraine on intellectual property, scientific, scientific-technical and innovative activities.

  • The Academy has the right to implement the results of its own scientific and scientific-technical activities (objects of intellectual property rights), which involves the use of intellectual property rights in their own educational (scientific) activities and / or in educational (scientific) activities of another higher educational institution (scientific institution).

  • The Academy has the right to transfer objects of intellectual property rights to another legal entity or individual for use in economic activities by selling or contributing to the authorized capital of an enterprise for the purpose of obtaining profit through their use.

  • The Academy, when acquiring a property right of intellectual property:

  • carries out the protection of intellectual property rights, receives security documents on objects of intellectual property rights;

  • pays rewards to the creators of objects of intellectual property right at the expense of the funds received from their use in accordance with the current legislation of Ukraine;

  • concludes contracts on the transfer of intellectual property rights or grant permission for the introduction of intellectual property objects into the educational process.

  • The Academy is taking measures to commercialize the objects of intellectual property rights, property rights to which they have acquired. If the objects of intellectual property rights of the Academy were created partly at the expense of the customer (customers), and partly at the expense of state funds, property rights regarding such objects of intellectual property rights are distributed on the basis of the agreement on their creation and used in accordance with the terms of the contract on their transfer An agreement on the creation of an object of intellectual property rights by order must determine the ways, conditions and procedure for the use of such an object by the customer.

23. LIQUIDATION AND REORGANIZATION OF ACADEMY

  • The termination of the Academy’s activities is through its reorganization (merger, joining, division, allocation, transformation) or liquidation.

  • The liquidation and reorganization of the Academy are carried out in accordance with the requirements of the current legislation of Ukraine.

  • The reorganization of the Academy takes place by decision of the general meeting of the Founders (owners). Upon reorganization of the Academy, the whole set of rights and duties of the Academy passes to its successors.

  • The academies are being liquidated:

  • by decision of the General Meeting of the Founders (owners) of the Academy;

  • by court decision in cases of bankruptcy.

  • The liquidation of the Academy is carried out by the liquidation commission formed by the General Meeting of the Founders (owners). In cases of bankruptcy and termination of the Academy, by a court decision, a liquidation commission appointed by this body.

  • The liquidation commission consists of representatives of the Founders (owners) and the Academy. The procedure and terms for conducting liquidation, as well as the term for claiming claims to creditors, are determined by the general meeting of the Founders (owners).

  • From the date of the appointment of the liquidation commission (or liquidator), the authority to manage the affairs of the Academy passes on to it (him).

  • The funds belonging to the Academy, including proceeds from the sale of its property upon liquidation, after calculating the wages of employees who work under the conditions of employment, and fulfillment of obligations to the budget, banks and other creditors, remain at the disposal of the Founders (owners) defined the general meeting of the founders (owners). Lenders and other legal entities that are in contractual relations with the Eliminated Academy are notified of its liquidation in writing.

  • A transfer act, distribution balance or liquidation balance of the Academy is subject to approval by the General Meeting of the Founders (owners).

  • During the liquidation and reorganization of the Academy, released workers and students who are studying at the Academy are guaranteed the observance of their rights and interests in accordance with the current legislation of Ukraine. The reorganization or liquidation of the Academy should not violate the rights and interests of persons studying in the Academy. The duty to resolve all issues of the continuation of continuous acquisition of higher education is based on the founders (owners) of the Academy and the profile ministry.

  • The liquidation of the Academy is considered to be completed, and the Academy has ceased its activities since the entry of the record into the Unified State Register.

  • Upon reorganization of the Academy, necessary changes are made to the Statute of the Academy and state registration of these changes is carried out.

24. PROCEDURE FOR AMENDMENTS TO THE STATUTE OF THE ACADEMY (ACCEPTANCE OF THE STATUTE IN A NEW EDITORY)

  • Changes and amendments to this Statute (or the Charter in a new edition) are adopted by the general meeting of the Founders (owners) of the Academy.

  • Changes and amendments to the Articles of Association (or the Charter in a new wording) are approved and agreed in the same manner as the Statute itself.

  • The statute of the Academy approved by the General Meeting of the Founders (owners) in the new edition is submitted for the state registration of changes to the information about the Academy in accordance with the procedure established by the legislation.

  • The statute of the Academy in the new edition takes effect from the moment of the state registration of the corresponding changes in the information about the Academy.

25. FINAL PROVISIONS

In the event that the court or authority under whose jurisdiction the founders (owners) or the academy recognize any provision of the charter as unlawful, ineffective or non-enforceable, then such recognition will not affect the legality of other provisions or provisions of the Statute, and illegal, invalid or non-enforceable provisions of the Statute shall be deemed to be excluded from this Statute. If any provision is found to be unlawful, ineffective or unenforceable, then the Founders (owners) should replace it with a new provision that is valid (in force) in accordance with the legislation of Ukraine and will result in a favorable legal and economic effect, as well as will be directed to the same effect, which was directed not to the current position.
